ACCEPTANCE OF THESE TERMSThese Terms and Conditions ("Terms") govern your use of the mobile and web applications published by Base Compound ("Base Compound", "we", "us" or "our") (the "Apps"), the website basecompound.com (the "Website"), and any related support we provide (together, the "Services").By downloading, installing, accessing or using any of our Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.Some Apps may have additional terms shown in the App or on its store listing. Those additional terms apply together with these Terms, and they prevail if the two conflict for that App.2. ELIGIBILITYYou must be at least 13 years old, or the minimum age required in your country, to use the Services. If you are under 18, or under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf.By using the Services, you confirm that you meet these requirements and are legally able to enter into these Terms.3. LICENCE TO USE THE SERVICESSubject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to download, install and use the Apps on devices you own or control, for your personal and non-commercial use.This licence does not allow you to:
- Copy, modify, adapt, translate or create derivative works of the Services.
- Reverse engineer, decompile, disassemble or attempt to extract the source code of the Services, except where the law expressly permits it.
- Rent, lease, lend, sell, sublicense, distribute or otherwise transfer the Services to anyone else.
- Remove, alter or obscure any copyright, trademark or other proprietary notices.
- Use the Services to build a competing product or service.All rights not expressly granted to you are reserved by Base Compound.4. ACCOUNTSSome Apps may require or allow you to create an account. You agree to:
- Provide accurate and complete information and keep it up to date.
- Keep your login details confidential and not share your account with others.
- Notify us promptly at [email protected] if you suspect unauthorised use of your account.You are responsible for all activity that happens under your account. We are not liable for any loss caused by unauthorised use of your account where you failed to keep your login details secure.5. PURCHASES AND SUBSCRIPTIONSSome Apps offer paid downloads, in-app purchases or subscriptions. These are processed by the app store you use (such as the Apple App Store or Google Play), and their terms of payment apply.- Prices are shown in the App or on the store listing before you buy and may include applicable taxes.
- Subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the renewal date.
- You can manage or cancel subscriptions in your app store account settings. Deleting an App does not cancel a subscription.
- If a free trial is offered, you will be charged when it ends unless you cancel before then.
- We may change prices for future purchases or renewal periods. We will give you reasonable notice of any price change to an active subscription, as required by the app store.Refunds are handled by the app store under its refund policy. Except where required by law, we do not issue refunds directly.Virtual items, credits or in-app currency have no real-world monetary value, cannot be exchanged for cash and may be lost if an App is discontinued or your account is closed.6. ACCEPTABLE USEYou agree not to use the Services to:
- Break any applicable law or regulation.
- Infringe the intellectual property, privacy or other rights of anyone else.
- Upload or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful or otherwise objectionable.
- Upload viruses, malware or any other harmful code.
- Interfere with, disrupt or place an unreasonable load on the Services or the servers and networks connected to them.
- Gain or attempt to gain unauthorised access to the Services, other accounts or our systems.
- Use bots, scrapers or other automated means to access the Services without our written permission.
- Cheat, exploit bugs or manipulate any feature of the Services in a way not intended.
- Impersonate any person or misrepresent your connection with any person or organisation.We may investigate and take any action we consider appropriate if you breach this section, including removing content and suspending or terminating your access.7. YOUR CONTENTSome Apps may let you create, upload or store content such as text, images or files ("Your Content"). You keep ownership of Your Content.You grant Base Compound a worldwide, non-exclusive, royalty-free licence to host, store, copy, process and display Your Content only as needed to operate, provide and improve the Services for you. This licence ends when you delete Your Content or your account, except where we must keep it by law or where it has already been shared with others through the Services.You confirm that you have all the rights needed to share Your Content and that it does not break these Terms or any law. You are responsible for keeping your own backups of Your Content.8. INTELLECTUAL PROPERTYThe Services, including all software, designs, text, graphics, logos, icons, sounds and other materials, and all intellectual property rights in them, are owned by Base Compound or its licensors and are protected by copyright, trademark and other laws."Base Compound", our logos and the names of our Apps are our trademarks. You may not use them without our prior written permission.If you send us feedback or suggestions, you allow us to use them freely without any obligation or payment to you.9. THIRD-PARTY SERVICESThe Services may include or link to third-party content, services, SDKs, advertisements or websites that we do not control. Your use of them is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them.10. APP STORE TERMSIf you download an App from the Apple App Store, you acknowledge that:
- These Terms are between you and Base Compound only, not Apple. Base Compound, not Apple, is solely responsible for the App and its content.
- Apple has no obligation to provide maintenance or support for the App.
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation for the App.
- Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to meet legal or regulatory requirements, and consumer protection claims.
- Apple is not responsible for investigating, defending, settling or discharging any third-party claim that the App infringes intellectual property rights.
- You confirm that you are not located in a country subject to a US government embargo or designated as a "terrorist supporting" country, and that you are not listed on any US government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.If you download an App from Google Play or another store, that store's terms of service also apply.11. UPDATES, CHANGES AND AVAILABILITYWe may update, change, suspend or discontinue any App, feature or part of the Services at any time, with or without notice. Some updates may be required to keep using an App.We do not guarantee that the Services will always be available, uninterrupted, timely or error-free, or that they will work on every device or operating system version.12. TERMINATIONYou may stop using the Services at any time by deleting the Apps and, where available, deleting your account.We may suspend or terminate your access to all or part of the Services at any time, without notice, if you breach these Terms, if required by law, or if we discontinue the Services.When your access ends, the licence granted to you ends and you must stop using the Services. Sections that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitation of liability, indemnity and governing law.13. DISCLAIMER OF WARRANTIESTo the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or secure operation.Any information provided through the Services is for general purposes only and is not professional, medical, legal or financial advice.Some jurisdictions do not allow certain warranties to be excluded, so some of the above may not apply to you. Nothing in these Terms affects your statutory rights as a consumer.14. LIMITATION OF LIABILITYTo the maximum extent permitted by law, Base Compound and its owners, employees, contractors and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or use, arising out of or in connection with the Services or these Terms, even if we have been told such damages are possible.To the maximum extent permitted by law, our total liability for all claims relating to the Services or these Terms is limited to the greater of (a) the amount you paid us for the relevant App or subscription in the 12 months before the claim arose, or (b) INR 5,000 (or its equivalent in your local currency).Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, such as liability for death or personal injury caused by negligence, or for fraud.15. INDEMNITYYou agree to indemnify and hold harmless Base Compound and its owners, employees, contractors and partners from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, your breach of these Terms or your violation of any law or the rights of anyone else.16. GOVERNING LAW AND DISPUTESThese Terms are governed by the laws of India, without regard to its conflict of law rules. Subject to the paragraph below, the courts of India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.If you are a consumer living in another country, you may also have the benefit of mandatory consumer protection laws of that country, and you may be able to bring proceedings in your local courts.Before starting any formal proceedings, please contact us at [email protected] so we can try to resolve the issue informally.17. CHANGES TO THESE TERMSWe may update these Terms from time to time. We will post the updated version on basecompound.com and change the "Last updated" date at the top. If we make material changes, we will notify you through the App, the Website or by email before they take effect. If you continue to use the Services after the changes take effect, you accept the updated Terms.18. GENERAL- Entire agreement: These Terms, together with our Privacy Policy and any App-specific terms, are the entire agreement between you and Base Compound about the Services.
- Severability: If any part of these Terms is found invalid or unenforceable, the rest will remain in full effect.
- No waiver: If we do not enforce any right or provision, that is not a waiver of it.
- Assignment: You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours, including as part of a merger, acquisition or sale of assets.
